NOTICE OF RESUMED MEETING OF CREDITORS

Notice is given that a resumed meeting of the creditors of the Company, or a resumed meeting for each of the Companies, (for multiple companies), will be held:

Agenda

Agenda items are:

1. to receive the supplementary report by the Administrators about the business, property, affairs and financial circumstances of the Company;

2. to receive a statement of the Administrators opinion and reasons for the opinion:
a. whether it would be in the creditors interests for the Administration to end;
b. whether it would be in the creditors interests for the Company to execute a Deed of Company Arrangement;
c. whether it would be in the creditors interests for the Company to be wound up;

3. to receive a statement of such other information known to the Administrator as will enable the creditors to make an informed decision about the matters at paragraphs (2)(a) to (c) above;

4. to receive details of any transactions that appear to the Administrator to be a voidable transaction in respect of which money, property, or other benefits may be recoverable by a Liquidator under Part 5.7B of the Act;

5. for the creditors of the Company to resolve that:
a. the Company executes a Deed of Company Arrangement; or
b. the administration should end; or
c. the Company be wound up.

6. whether to adjourn the meeting (for a maximum of 45 business days);

7. approval of the remuneration/disbursements of the Administrators, Deed Administrators or Liquidators;

8. approval of the remuneration of the Former Administrator;

9. if the Company is wound up, the appointment of a Liquidator;

10. to consider the early destruction of the books and records of the Company;

11. to consider appointing a Committee of Inspection and if so, who are to be the Committee members and that Committee members may directly or indirectly gain a profit or advantage from the external administration of the Company; and

12. any other business.

Creditors wishing to attend are advised proofs and proxies are to be submitted to the external administrator by:

Creditors wishing to participate in the resumed meeting by using electronic facilities must return to the external administrator not later than the second last business day before the day of the resumed meeting, a written statement setting out

i. the name of the person and of the proxy or attorney, (if any); and
ii. an address to which notices to the person, proxy or attorney may be sent; and
iii. a method by which the person, proxy or attorney may be contacted for the purposes of the meeting.

Note: Creditors who returned the information mentioned above to the external administrator of the adjourned meeting need not resubmit that information.
