For Creditors to resolve that: a) A Deed of Company Arrangement (Deed) be executed by one (1) or all of the companies, as the case may be; orb) The Administration of one (1) or all of the companies should end, as the case may be; orc) That the one (1) or all of the Companies be placed into liquidation; IN THE EVENT THE COMPANIES ENTER A DEED OF COMPANY ARRANGEMENT 5. To consider approval of the Deed Administrators remuneration;IN THE EVENT THE COMPANY IS WOUND UP 6. To consider the nomination of a person(s) to be Liquidators of the Company;7. To consider approval of the Liquidators remuneration;8. To consider the appointment and constitution of a committee of inspection;9. Pursuant to Section 542 of the Corporations Act, to authorise the Liquidators to be able to destroy the books and records of the Company within a period of six (6) months after the dissolution of the Company, subject to obtaining prior approval from the Australian Securities & Investments Commission (ASIC); and10. Creditors wishing to participate in the meeting by telephone must return to the convenor of the meeting not later than the second last working day before the day of the meeting, a written statement setting out the name of the person and of the proxy or attorney, (if any), an address to which notices to the person, proxy or attorney may be sent, a telephone number at which the person, proxy or attorney may be contacted and any facsimile number to which notices to the person, proxy or attorney may be sent. A person, or the proxy or attorney of a person who participates in the meeting by telephone, must pay any costs incurred in participating and is not entitled to be reimbursed for those costs from the assets of the Company.
