Agenda

Agenda items are:

  • 1. To consider the report of the Administrators.

    2. To consider the breach by Fifth Stop Pty Ltd of the Deed of Company Arrangement entered into by the Company and Fifth Stop Pty Ltd on 27 June 2019 (Fifth Stop DOCA) and the status of that breach.

    3. To resolve one of the following resolutions:
    a. The Company enter into a new Deed of Company Arrangement with an alternate party (may include FST) at which time the Fifth Stop DOCA be terminated due to a breach of the Fifth Stop DOCA not being rectified at the date of this resolution; or
    b. The Company enter into a Holding DOCA at which time the Fifth Stop DOCA be terminated due to a breach of the Fifth Stop DOCA not being rectified at the date of this resolution; or
    c. That the Fifth Stop DOCA be terminated and the Company be wound up.

    4. If it is resolved that the Fifth Stop DOCA be terminated and the Company be wound up, consider whether a Committee of Inspection is to be appointed, and if so, the members of that Committee.

    5. To fix the remuneration of the Administrators.

    6. To fix the remuneration of the Deed Administrators.

    7. If it is resolved the Fifth Stop DOCA be terminated and the Company be wound up, to fix the remuneration of the Liquidators.

    8. Any other business that may be lawfully brought forward.

    Creditors wishing to attend are advised proofs and proxies are to be submitted to the external administrator by:
